General terms and conditions

PRELIMINARY ARTICLE - DEFINITIONS

The expressions and terms used in these General Terms and Conditions shall have the meanings attributed to them below:

 

 

"CTG:

General terms and conditions

"Event" :

Refers to the dates of 24, 25 and 26 May 2024 for which the Guest is invited to take part in the Grand Prix.

"Grand Prix" :

Refers to the Formula 1 Grand Prix held in the Principality of Monaco.

 

"SIAMP" :

Designates the company SIAMP-CEDAP, a public limited company, whose registered office is at 4, Quai Antoine 1er - 98000 Monaco, registered in the Trade and Industry Register under number 56S00140 and represented by its current legal representative.

 

"Guest" :

Means any person who has received an invitation link to the Site and has links with SIAMP.

 

"Programme" :

Refers to the organisation of the Event as communicated to the Guest on the Site and/or the shared communication media.

 

"Site" :

Refers to the website available at the following URL address: www.siampmonacogeneral2024.com

ARTICLE 1 - SCOPE OF APPLICATION

These General Terms and Conditions apply without restriction or reserve to any Guest accessing the Site owned by SIAMP-CEDAP, a public limited company, located at 4, Quai Antoine 1er - 98000 Monaco, registered in the Trade and Industry Register under number 56S00140 and represented by its current legal representative.

These GTC apply to the exclusion of all other conditions. They are accessible at all times on the Site and will prevail, where applicable, over any other version or contradictory document.

The Guest declares that he/she has read these GTC and accepted them before registering for the Event. The Guest declares that he/she has full legal capacity to enter into commitments under these GTC. In this respect, he/she declares that he/she is of legal age and is not under any form of protection or guardianship.

If an invitation is sent to an emancipated minor, the latter must inform SIAMP of his or her situation.

The Guest guarantees that the information provided is sincere and that it is his/her sole responsibility. These GTC may be amended at any time, the version applicable to the Guest being that in force on the Site. Registration for the Event on the Site implies unreserved acceptance of these GTC.

ARTICLE 2 - EVENT REGISTRATION

 

SIAMP, to strengthen the commercial links with its partners, wishes to invite Guests to attend the Formula 1 Grand Prix in its offices or on any premises made available.

It therefore wishes to enable its Guests, via the Site, to register and confirm their attendance at the Event by the terms and conditions set out below.

Thus, the Guest expressly undertakes not to sell or market his/her participation in the Event in any form whatsoever, to obtain a financial advantage. It is therefore forbidden to:

  • Selling your shareholding to a third party ;

  • Monetising the attendance of a third party at the Event.

2.1 Requirements

The Guest may register for the Event under the conditions set out herein and only if it has obtained SIAMP's authorisation to do so. Therefore, any person who has not been formally contacted by SIAMP to access the Event irrevocably refrains from remaining on the Site and attempting to register.

SIAMP's authorisation will be formalised by contacting the guest and sending a URL link to access the Site. In the event of a sending error, SIAMP reserves the right to cancel the subscription without prejudice to the person who has registered.

Finally, subject to the prior and express acceptance of SIAMP, the Guest may be accompanied by a third person under the conditions set out herein. In this respect, the Guest must ensure that the accompanying person complies with all these GTC. The Guest may bring children under his/her sole responsibility. In this respect, the Guest must be able to justify the legal links between them.

Furthermore, the Guest is informed that, for organisational and economic reasons, nights in a hotel, if offered to the Guest, imply the possible sharing of his/her room with the accompanying person or any other person chosen by SIAMP.

2.2 How to register

To register for the Event, the Guest must provide the following information:

  • Full name ;

  • Email address ;

  • Telephone number ;

  • And any useful information about the accompanying person, such as surname, first name, age and, if the accompanying person is a minor, the link between them.

And, more generally, any information required for the organisation of the Event that he/she may enter when registering in the box provided for this purpose.

In this respect, the Guest irrevocably undertakes to provide sincere and true information, which is essential for the proper organisation of the Event. Failing this, SIAMP may not be held liable for any partial or erroneous communication.

2.3 Finalising registration

Once registration has been finalised, a confirmation e-mail will be sent to the Guest with the Event Programme and the conditions of participation. The Guest undertakes to read and scrupulously respect the provisions of the Programme.

ARTICLE 3 - TERMINATION

Participation in the Event is completely free of charge for the Guest within the limits of the provisions defined below.

3.1. Dates and venue of the Event

The Event will take place as follows:

  • Venue: Quai Antoine Ier - 98000 Monaco or any offices made available by SIAMP ;

  • Dates: From 24 May 2024 to 26 May 2024

  • Programme:

    • FRIDAY 24 MAY 2024 :

      • Dinner and overnight in a hotel

    • SATURDAY 25 MAY 2024 :

      • Transfer from the hotel to the Event

      • Lunch

      • Dinner and overnight in a hotel

      • Transfer from the Event to the hotel

    • SUNDAY 26 MAY 2024 :

      • Transfer from the hotel to the Event

      • Lunch

      • Transfer from the Event to Nice Côte d'Azur airport or hotel

The timetables for the various transfers will be detailed by SIAMP by email and by any other means of communication.

3.2. Payment of the costs of the Event

SIAMP undertakes to take charge of all of the elements under the conditions defined herein. Apart from the cases mentioned, no payment by SIAMP may be claimed by the Guest, particularly if the latter wishes to carry out additional activities.

Transport :

The Guest will be transported by a collective bus or any means of transport specially reserved by SIAMP. The Guest must take care to be present at the times communicated to avoid delays in the various transfers.  

The Guest irrevocably undertakes to follow the safety instructions during the various transfers and to ensure that they are respected by any person accompanying him/her.

 

What is not covered by SIAMP :

  • Plane tickets to and from Nice Côte d'Azur airport.

  • Travel outside the routes defined in Article 3.1.

Meals :

Meals provided by SIAMP will be for :

  • Friday 24 May 2024:

    • Dinner only

  • Saturday 25 May 2024:

    • Lunch and dinner

  • Sunday 26 May 2024:

    • Lunch only

The Guest undertakes to inform SIAMP of any dietary restrictions/allergies or prohibitions due to a medical problem.

Apart from what has just been announced, the following will not be covered:

  • Meals not mentioned above ;

  • Food/drinks consumed in the hotel or anywhere else.

Apart from these meals, SIAMP will not bear any additional costs.

Accommodation :

The Guest acknowledges and accepts that SIAMP may pay for the following overnight stays:

  • Overnight stay on 24 May 2024 in a double/twin/single room;

  • Overnight stay on 25 May 2024 in a double/twin/single room

The Guest is advised that if he/she wishes to stay longer or arrive earlier, he/she will have to pay the additional costs at his/her own expense, subject to the hotel's availability.

Finally, if the hotel is not covered by SIAMP, the Guest will be informed. The Guest will then have to find accommodation by his/her means. In this case, the Guest acknowledges that the transport costs mentioned above may differ, particularly when the Guest's hotel requires a long journey.

ARTICLE 4 - OBLIGATIONS AND COMMITMENTS OF THE PARTIES

4.1 Obligations and commitments of the Guest

The Guest undertakes to :

  • Communicate true and sincere information to SIAMP for its participation in the Event;

  • Do its utmost to ensure that the Event is organised in the best possible conditions;

  • Not to commit or attempt to commit any illegal activities throughout the Event;

  • Do not disrupt or attempt to disrupt the Event;

  • Not to market its participation in the Event by article 2 of the GTC;

  • Inform SIAMP of his/her arrival and departure times and any delays;

  • Pay any additional costs incurred in the hotel provided (mini-bar, snacks, additional meal(s)) or, in the event of damage, the cost of repairs;

  • Behave ethically throughout the Event;

  • Not to damage the offices made available to SIAMP, third-party property or street furniture;

  • Comply with the safety, health and general instructions and guidelines issued by the hotel, the carrier or SIAMP, particularly when using the terrace provided on these offices;

  • Do not engage in commercial espionage;

  • Not to transport illicit, dangerous or illegal products by the provisions of its country of origin, France and the Principality of Monaco.

 

These commitments are made both by himself and by the person accompanying him, for whom the Guest is responsible.

Where the accompanying person is a minor, the Guest undertakes to :

  • Assume full responsibility for any damage or deterioration caused by it;

  • Be able to provide proof, at SIAMP's first request, of the links between them (kinship, guardianship, other) and the authorisation/permission to travel with the latter. Failing this, and in case of doubt, SIAMP may contact the competent authorities and take all necessary measures;

  • Assume sole responsibility for all additional costs

  • Take all necessary safety measures to protect the minor, including hearing, vision and body protection.

 

The Guest also acknowledges that :

  • SIAMP may not be held liable if the loss suffered is the result of a breach of its obligations under these GTC;

  • SIAMP may cancel and/or modify the terms and conditions for taking charge of the Event at any time without prejudice;

  • Browsing the Site involves risks and SIAMP cannot guarantee that use will not be undisturbed by malicious third parties;

  • The provision of a Site is subject to certain constraints beyond SIAMP's control and consequently SIAMP may not be held liable in the event of the Site being unavailable;

  • Participation in the Event is the sole responsibility of the Guest.

 

Finally, the Guest acknowledges and accepts that SIAMP may unilaterally and without notice refuse access to all or part of the Event where it has not complied with its undertakings under the GTC.

Generally speaking, the Guest releases SIAMP from any liability and any recourse for prejudice resulting from its turpitude. 

4.2 SIAMP's obligations and commitments

SIAMP undertakes to :

  • Make its best efforts to ensure that the Event takes place in the best possible conditions;

  • Ensure that the Event takes place in complete safety;

  • Provide the Guest with human and logistical resources;

ARTICLE 5 - INTELLECTUAL PROPERTY

5.1. Intellectual Property of the Site

All texts, product data sheets, notices, references, models, drawings, documentation, comments, works, illustrations, images, photographs and trademarks on the Site are protected by French, Monegasque, European and international intellectual property laws.

Therefore, without the express written authorisation of SIAMP, any representation, reproduction, modification, distortion and/or use of all or part of the Site by any process whatsoever and on any medium whatsoever is prohibited.

5.2. Intellectual property of SIAMP

SIAMP remains the exclusive owner of all intellectual property rights attached to the Event and to the documents, information, works, illustrations, images, books and photographs that it provides to the Guest.

In this respect, these GTC may not be considered in any way as a transfer, licence or agreement to use them outside the framework provided by SIAMP.

Consequently, the Guest undertakes not to divulge, reproduce or use them without the express agreement of SIAMP. If the Guest is authorised by SIAMP, it irrevocably undertakes to mention the logo and/or company name on all possible media.

ARTICLE 6 - RESPONSIBILITIES

SIAMP is only bound by an obligation of means and cannot therefore guarantee that the Event will take place, this being subject to conditions beyond its control.

 

SIAMP cannot be held responsible for :

  • Any damage, in particular financial damage, if the Event is cancelled or if the Guest's participation in the Event is made impossible;

  • Theft, loss or damage to the Guest's personal belongings as a result of his/her negligence or a malicious act;

  • Any prejudice resulting directly or indirectly from the behaviour of another Guest or third party.

 

Nothing in the content of the exclusion of liability clause shall exclude or limit any legal warranty, which it would be unlawful to exclude or limit and nothing in the content of the exclusion of liability clause shall exclude or limit the liability of SIAMP about:

  • death or personal injury caused by SIAMP's negligence;

  • Other damages for which it would be illegal or unlawful to exclude, limit or attempt to exclude or limit its liability.

ARTICLE 7 - FORCE MAJEURE

SIAMP may not be held liable for total or partial non-performance caused by an act of God, an event of force majeure as defined in article 1218 of the French Civil Code and article 1003 of the Monegasque Civil Code, beyond its control, making it impossible for the Guest to participate in the Event.

The following circumstances are considered to be cases of force majeure:

  • Strikes ;

  • Cancellation of the Grand Prix

  • Pandemic type COVID ;

  • Labour disputes ;

  • Lock-out ;

  • Solar flare ;

  • Transport strike;

  • Fait du prince ;

  • Insurrection ;

  • Attack ;

  • War ;

  • Earthquakes, fires, floods ;

  • Road blockage;

  • Bad weather, storms, exceptional weather conditions ;

  • Telecommunications network malfunction ;

  • Malfunctioning power sources ;

 

 

ARTICLE 8 - PARTIAL NULLITY

Should any provision of these GTC be invalidated for any reason whatsoever, this invalidation will not affect the validity of the other provisions.

 

 

ARTICLE 9 - CONFIDENTIALITY

Each of the Parties undertakes to treat as strictly confidential all documents, written or oral information, results or data of a technical, scientific, commercial, financial or other nature which have been and/or will be communicated to them in the context of the present contract, but also to which they have had access.

The Parties shall not be bound by this obligation of confidentiality in respect of information which they can prove has already fallen into the public domain or if it has been lawfully received from a third party.

In addition, each Party undertakes not to divulge to any third party any information of which it may have become aware in the context of the Event, in particular, information relating to :

  • At the SIAMP offices;

  • The organisation of the Event.

 

This clause comes into force from the date of subscription to the Event and will be retroactive, where applicable, to the date of the first disclosure of documents and information. Consequently, all information exchanged from the date of the first disclosure will fall within the scope of this clause.

This confidentiality undertaking is entered into by the Parties for the entire duration of the Event and a period of ten years (10 years) from the end date.

The Parties shall only be released from this confidentiality undertaking with the express prior written authorisation of the other Party or if the documents and information communicated in the context of the Event have fallen into the public domain.

ARTICLE 10 - PERSONAL DATA

The protection of the Guest's personal data is important to SIAMP. SIAMP will therefore do everything in its power to minimise the collection, protection and security of the Guest's data by:

  • Law n. 1.165 of 23/12/1993 on the protection of personal information for Monegasque Guests;

  • The General Data Protection Regulation (GDPR n°2016/679) for European Guests.

 

The Guest is referred to the privacy policies and legal notices on the Site, which contain all the information concerning the data controller, data collection, purpose, legal basis, retention period, data recipients and the exercise of the Guest's rights.

ARTICLE 12 - APPLICABLE LAW - JURISDICTION

12.1 Monegasque guests

These General Terms and Conditions are governed by and subject to Monegasque law, and in particular to the provisions of law no. 1.165 of 23/12/1993 relating to the protection of personal information.

12.2 European guests

These General Terms and Conditions are governed by and subject to European law, in particular the provisions of the General Data Protection Regulation (RGPD n°2016/679).

12.2 Guests from outside the European Union

These General Terms and Conditions are governed by and subject to the provisions applicable in the Guest's place of residence.

12.3 Jurisdiction

ALL DISPUTES TO WHICH THESE GENERAL TERMS AND CONDITIONS MAY GIVE RISE, CONCERNING THEIR VALIDITY, INTERPRETATION, PERFORMANCE, TERMINATION, CONSEQUENCES AND CONSEQUENCES, SHALL BE SUBMITTED TO THE COMPETENT COURTS IN THE JURISDICTION IN WHICH THE GUEST'S PLACE OF RESIDENCE IS LOCATED.
